Sommet Partner Agreement

Version: partner-terms-2026-10-v4

Effective: 21 October 2026

Contact: support@sommet.life

These Partner Terms form the agreement governing a Partner's use of Sommet to offer services to Members. By accepting these terms during onboarding, the Partner confirms that the information in its Sommet account is complete and accurate and agrees to be bound by this Agreement.

This Agreement is made between:

(1) Sommet Paros/Antiparos Single Member P.C. (Μονοπρόσωπη Ι.Κ.Ε.), a private company incorporated in Greece, registered in the General Commercial Registry (GEMI) under number 194942201000, tax number (AFM) 803341350, the operator of the Sommet Platform ("Sommet", "we"); and

(2) the legal person or sole trader identified in the Partner account and its verification record ("Vendor", "Partner", "you"),

(together, the "Parties").

This version replaces partner-terms-2026-07-v3 for acceptances on or after 21 October 2026. It corrects commission extraction, commission caps and Dining payment terms. Earlier acceptance evidence remains bound to the exact version and published bytes the Partner accepted until the Partner accepts this version.

1. Definitions

"Booking" means a specific confirmed transaction between a Member and the Vendor for a Service, made through the Platform.

"Category" means the type of Service the Vendor supplies (Dining, Transfer, Boat Charter, Watersports, Wellness/Experience, or another category Sommet adds), each with its own Schedule to this Agreement.

"Compliance Pack" means the licences, certificates, permits and insurance documents required for the Vendor's Category, as set out in the applicable Schedule and updated by Sommet from time to time to reflect current Greek and EU law.

"Connected Account" means the Vendor's own account with Stripe, opened as part of onboarding, through which Bookings are settled.

"Member" means a registered user of the Platform.

"Platform" means the Sommet app and website.

"Platform Fee" means Sommet's fee for the introduction, calculated per the applicable Schedule.

"Service" means the goods or services the Vendor supplies to Members under its Category.

2. Role of the parties

2.1 The Vendor is the principal. For every Booking, the Vendor is the party contracting with the Member to supply the Service, is the merchant of record for the payment, and is solely responsible for the Service being supplied lawfully, safely, and to the standard advertised.

2.2 Sommet is a disclosed intermediary only. Sommet introduces Members to the Vendor, operates the Platform through which Bookings are requested and paid for, and processes payment via Stripe Connect as described in clause 5. Sommet is not the supplier of the Service, does not employ or direct the Vendor's staff, and does not control how the Vendor delivers the Service (only the Booking request, confirmation and payment mechanics run through the Platform).

2.3 Nothing in this Agreement creates a partnership, joint venture, agency (other than the limited payment-collection agency in clause 5), or employment relationship between the Parties. The Vendor is not, and must not represent itself as, an employee, worker, or agent of Sommet.

3. Onboarding, KYC/KYB and the Compliance Pack

3.1 Identity and business verification. Before the Vendor can receive Bookings, the Vendor must complete identity verification (KYC, for a sole trader/authorised signatory) or business verification (KYB, for a company), run through Sommet's identity provider. This includes AML screening. Sommet may decline, delay, or later suspend the Vendor's account based on the outcome, including any adverse screening result, without obligation to disclose the specific reason where doing so would breach the provider's or a regulator's confidentiality requirement.

3.2 Compliance Pack: a hard onboarding gate. The Vendor must upload, and keep current, every document required for its Category (see the applicable Schedule): licences, permits, professional registrations, certificates, and in-date liability insurance. The Vendor is not listed as bookable on the Platform until its Compliance Pack is complete and verified. If any document expires or is not renewed and re-verified before its expiry date, Sommet will automatically suspend the Vendor's bookable status until a valid replacement is provided (a "fail closed" rule: Sommet will not leave a Vendor bookable on an assumption that a lapsed document has probably been renewed).

3.3 Ongoing accuracy. The Vendor must notify Sommet immediately if any Compliance Pack document is suspended, revoked, or under regulatory investigation, or if any material fact about the Vendor's licensing status changes.

3.4 Representations and warranties. The Vendor represents and warrants, on an ongoing basis for as long as this Agreement is in force, that: (a) it holds every licence, permit, registration and certificate its Category and applicable law require; (b) it holds in-date liability insurance appropriate to its Category and Service; (c) it is validly constituted, tax-registered, and (where applicable) VAT-registered in Greece; (d) it will comply with all applicable health, safety, maritime, transport, food-safety, employment and consumer-protection law relevant to its Service; and (e) the specific additional warranties in its Category Schedule.

4. Bookings

4.1 The Vendor must respond to a Booking request (confirm, propose a modified time/price, or decline) within the timeframe shown in the Platform for its Category, and must honour a confirmed Booking on the terms confirmed.

4.2 The Vendor must keep its availability, pricing and capacity information on the Platform current, so that Members are not offered a Booking the Vendor cannot in fact fulfil.

4.3 The Vendor sets its own price for its Service. The Member pays that same Service price, with Sommet's commission deducted within the configured Partner cap under clause 6.1; Sommet does not set, and does not dictate, the Vendor's price for the underlying Service, or the class, standard or specification of the Service itself.

5. Payments, Stripe Connect and Dining payments

5.1 Connected Account. Where the configured payment model requires it, the Vendor must open and maintain a Connected Account with Stripe and keep it in good standing (charges and payouts enabled). Stripe carries out its own verification of the Vendor as the account holder; this is separate from, and in addition to, Sommet's own KYC/KYB under clause 3.

5.2 Settlement structure. Bookings paid through the Platform are processed as Stripe Connect destination charges, naming the Vendor's Connected Account as both the business of record (on_behalf_of) and the settlement destination (transfer_data.destination) for the charge. The Vendor is therefore always the merchant of record for the Member's payment. Sommet's Platform Fee, where collected this way (see the applicable Schedule), is deducted automatically as a Stripe application fee at the moment of capture; the balance settles to the Vendor's Connected Account.

Stripe may debit Sommet's platform balance for processing fees, refunds, disputes or connected-account shortfalls arising from a destination charge. As between the Parties, the Vendor remains responsible for amounts arising from its Service, cancellation policy, fraud, refund obligation or dispute, and Sommet may recover those amounts from the Vendor's settlement or invoice, except to the extent caused by Sommet's own breach or payment-processing error.

5.3 Payment security (authorisation and capture). For a priced Booking (transfer, boat charter and similar), Sommet charges the Member when the Member accepts the Vendor's confirmed quote, on the Vendor's own Connected Account, with Sommet's Platform Fee taken as the application fee. Where a Booking is secured before it is charged, any short-lived card authorisation is created as a Stripe Connect payment with the Vendor identified through on_behalf_of as settlement merchant and the Vendor's Connected Account as settlement destination. The Vendor authorises Sommet to instruct Stripe, on the Vendor's behalf, to place and release such an authorisation, and to capture the applicable amount (in full, or as a deposit, per the applicable Schedule) on the Member's acceptance of a confirmed quote, and to release it if the Vendor declines, does not respond in time, or the Booking is otherwise cancelled with no fee due. Dining Bookings do not use a Member card charge or authorisation hold, as described in clause 5.4 and Schedule A.

5.4 Dining reservations and Partner fees. A Dining reservation is free to the Member. Sommet takes no Member card charge, authorisation hold or deposit for the reservation, including for a late cancellation or no-show. The Member pays the meal bill directly to the Vendor. Sommet takes no commission on the food bill or on any cancellation or no-show charge.

Separately, the Vendor authorises Sommet to collect the configured Dining per-cover fee using the collection method disclosed in the Partner workspace. The applicable amount, currency, billable event and cancellation or no-show treatment are those configured for the Vendor and displayed before acceptance and in the Partner workspace. No fixed launch amount or Member card guarantee is imposed by this Agreement. Fees are itemised in one consolidated monthly statement under clause 6.2. The Vendor's card-on-file mandate for its own fees is distinct from any Member payment.

5.5 Refunds and chargebacks. As merchant of record, the Vendor is responsible for handling refunds and chargebacks relating to its Service, executed as Stripe refunds or transfer reversals on its own Connected Account. Sommet will reverse the corresponding commission deducted from the Vendor's price on a pro-rata basis where a Booking is cancelled or refunded through no fault of the Member, and may deduct the corresponding amount from the Vendor's next settlement or invoice where the Platform Fee had already been paid out to the Vendor in error.

5.6 Weather and safety cancellation (outdoor Categories). For Boat Charter, Watersports and similar outdoor Categories, where a Booking is cancelled by a competent authority (e.g. the port authority) or by the Vendor for weather or safety reasons, the Member has a full refund right. The Vendor agrees to honour this promptly on request from Sommet, and may not charge a cancellation fee for a weather/safety cancellation that was not the Member's choice.

6. Fees, invoicing and tax

6.1 Configured charges and commission caps. The applicable category charge, currency, commission rate and Partner commission cap are the commercial settings disclosed before acceptance and recorded in the Partner workspace. For commission-based Bookings, the Partner price is the Member price for the Service. Sommet's commission is extracted from that price and shown as a deduction from the Vendor's settlement, never added as an uplift to the Service price. The applied commission rate must not exceed the configured Partner cap; the cap is a maximum, not an instruction to charge that rate. Any applicable introduced-Member rate is taken from the disclosed settings. Dining instead uses the configured Partner per-cover fee in clause 5.4 and Schedule A. A separately disclosed Member booking or delivery fee is distinct from the Vendor commission and does not increase the commissionable Service price.

Sommet may vary a fee on 30 days' notice, but no change applies retroactively to an already confirmed Booking. The Partner workspace is the operational record of the current notified fee.

6.2 For any Category where Sommet bills the Vendor (Dining per-cover fees, and other configured Vendor-billed fees), Sommet issues one consolidated statement per Vendor per month, itemised per Booking or cover, by the 15th of the following month, structured to comply with Greek e-invoicing/myDATA requirements as they apply from time to time. For Dining, the per-cover fee is collected by the Vendor's card-on-file mandate (clause 5.4) against that statement.

6.3 VAT on the Platform Fee. Because Sommet is the party billing the Vendor, Sommet's Platform Fee to a Greek-established, VAT-registered Vendor is a domestic Greek supply: Sommet charges Greek VAT at the rate required by applicable law on the fee and reports it through myDATA, and the reverse-charge mechanism does not apply.

6.4 The Vendor is solely responsible for its own tax position, including VAT and myDATA reporting on its own Service invoices to Members, and for any employer obligations (including EFKA contributions) in respect of its own staff.

7. Data protection

7.1 Each Party processes personal data of Members as an independent controller for its own purposes: Sommet for operating the Platform and processing payment; the Vendor for supplying and invoicing its own Service. Neither Party is the other's processor under this Agreement.

7.2 The Vendor must not retain, re-use, sell, or share a Member's personal data for any purpose beyond fulfilling the specific confirmed Booking (for example: no adding Members to a marketing list without separate, specific consent obtained directly by the Vendor).

7.3 Both Parties will comply with the GDPR and applicable Greek data protection law in respect of data shared under this Agreement and will sign any additional data-sharing instrument required by applicable law.

8. Feedback and reputation

8.1 Sommet may ask the Vendor for structured feedback about a Member following a Booking (for example: no-show, payment issue, would-serve-again). This feedback is held by Sommet as an internal, operator-facing signal only. The Vendor acknowledges that Sommet does not, and will not, publish this feedback to other Vendors as a visible cross-Vendor reputation score.

8.2 The Vendor may leave general, non-Member-identifying feedback about the Booking experience (for example, about the Platform itself), which Sommet may use to improve the product.

9. Branding and intellectual property

9.1 Sommet grants the Vendor a limited, non-exclusive, non-transferable licence to display the "Sommet Partner" mark (or equivalent) in accordance with Sommet's brand guidelines, solely to indicate the Vendor's participation on the Platform, for the term of this Agreement.

9.2 The Vendor grants Sommet a non-exclusive licence to use the Vendor's name, logo, photographs and Service descriptions on the Platform and in Sommet's marketing, for the purpose of listing and promoting the Vendor's Service.

10. Insurance

10.1 The Vendor must hold, and provide evidence of, the insurance specified in its Category Schedule, at all times while listed on the Platform.

10.2 Sommet may, at its discretion, place a platform-level contingent liability policy over Bookings in certain Categories. This is additional cover, arranged for Sommet's own risk, and does not replace, reduce, or satisfy the Vendor's own insurance obligation under clause 10.1.

11. Term, suspension and termination

11.1 This Agreement starts on the date the Vendor completes onboarding and continues until terminated under this clause.

11.2 Either Party may terminate for convenience on 30 days' written notice.

11.3 Sommet may suspend the Vendor's bookable status immediately, without notice, where: (a) a Compliance Pack document lapses (clause 3.2); (b) Sommet reasonably believes the Vendor has breached clause 3.4 (its warranties) or applicable law; (c) a safety incident occurs; (d) the Vendor's Connected Account is restricted or closed by Stripe; or (e) a regulator opens an investigation into the Vendor's licensed activity.

11.4 Either Party may terminate immediately for the other's material, uncured breach (with 14 days to cure a curable breach), insolvency, or repeated suspension under clause 11.3.

11.5 Termination does not affect Bookings already confirmed before the termination date, which must still be honoured (or refunded, if the Vendor cannot perform), and does not affect either Party's accrued payment obligations.

12. Liability and indemnity

12.1 Vendor indemnity. The Vendor indemnifies Sommet against all claims, losses, fines, and regulatory sanctions arising from: (a) the Vendor's breach of its warranties in clause 3.4; (b) the Vendor's Service, including any injury, loss or damage suffered by a Member in connection with it; and (c) the Vendor's breach of applicable licensing, tax, employment, or data-protection law.

12.2 Sommet's liability. Sommet's liability to the Vendor is limited to losses arising from Sommet's own breach of this Agreement in operating the Platform and processing payment (for example, a Platform Fee miscalculation), and is capped at the total Platform Fees paid by the Vendor to Sommet, or by Sommet to the Vendor, in the 3 months before the claim arose. Nothing in this clause excludes liability for fraud or anything else that cannot lawfully be excluded.

13. Confidentiality

13.1 Each Party will keep the other's confidential business information (including commercial terms, technical integration details, and non-public Member data) confidential and use it only to perform this Agreement.

14. General

14.1 Governing law and jurisdiction. This Agreement is governed by the laws of Greece. The courts of Athens have exclusive jurisdiction.

14.2 Assignment. Sommet may assign this Agreement to another Sommet group company on notice to the Vendor. The Vendor may not assign this Agreement without Sommet's consent.

14.3 Entire agreement. This Agreement, including its Schedules, is the entire agreement between the Parties on its subject matter.

14.4 Notices. Notices to Sommet must be sent to support@sommet.life. Notices to the Vendor will be sent to the primary email address recorded in the Partner account. A notice is treated as received on the next business day after it is sent, provided the sender does not receive a delivery failure notice.

Schedule A: Dining

Additional warranties. The Vendor holds a valid food-business notification with EFET, operates a documented HACCP system, and (from 1 January 2026) ensures its food handlers are trained per applicable Greek food-hygiene law.

Platform Fee. The Dining per-cover amount, currency, billable event and collection method are configured for the Vendor, disclosed before acceptance and shown in the Partner workspace. They apply under clauses 5.4 and 6.2 and are itemised on a consolidated monthly statement. No commission is charged on the Member's food bill or on a cancellation or no-show charge.

Member payment. No Member card charge, authorisation hold or deposit is taken through Sommet for a Dining reservation. The Member pays the meal bill directly to the Vendor. The Vendor's own fee-collection mandate does not authorise a charge to the Member.

Schedule B: Transfer

Additional warranties. The Vendor (and each of its vehicles) holds a valid EIX-with-driver (private-hire) licence, complies with Law 4530/2018 and KYA 134328/2025 (the written per-trip lease contract carried in the vehicle), and files, or has expressly delegated to Sommet in writing the filing of, the trip details to the Ministry's digital pre-booking registry at least two hours before each trip per Decision 154785.

Pricing. The Vendor sets the Service price per trip; the Member pays that same Service price. Sommet deducts the configured commission from it, within the configured Partner cap under clause 6.1. The commission is not an uplift. Where payment is through Stripe Connect, the Vendor remains merchant of record for the Service.

Vehicle and service standard. The Vendor is solely responsible for the vehicle class, condition, driver conduct and service standard; Sommet does not specify or control these.

Schedule C: Boat Charter and Watersports

Additional warranties. The Vendor holds current professional vessel registration (or the applicable watersports/diving operating licence), an in-date seaworthiness certificate (where applicable), a certified maximum passenger number, a licensed skipper or qualified instructor, any required port-authority clearance or per-charter declaration, and passenger/third-party liability insurance.

Pricing. The Vendor sets the charter or session price; the Member pays that same Service price. Sommet deducts the configured commission from it, within the configured Partner cap under clause 6.1, without an uplift. Where payment is through Stripe Connect, the Vendor remains merchant of record for the Service.

Weather/safety cancellation. Per clause 5.6; the Vendor may not levy a cancellation fee where a competent authority or the Vendor itself cancels for weather or safety reasons.

Schedule D: Wellness, Spa and Experiences

Additional warranties. The Vendor holds any required premises operating/health permit, and its practitioners hold the qualifications their treatment or activity requires. Where the Vendor operates on a third party's premises (for example, a hotel spa concession), the Vendor confirms it is contractually entitled to trade there and to accept Bookings independently of any accommodation booking at that property.

Pricing. The Vendor sets the Service price; the Member pays that same Service price. Sommet deducts the configured commission from it, within the configured Partner cap under clause 6.1, without an uplift. Where payment is through Stripe Connect, the Vendor remains merchant of record for the Service.

No bundling. The Vendor agrees that its Service will always be bookable, priced and confirmed as a standalone Booking, and will not be combined by either Party with an accommodation stay or any other Vendor's service into a single inclusive price.
